From first request to close

The same deal, a few hundred hours lighter.

Diligence is mostly re-typing: the same question from four bidders, the same figure chased across three documents, the same request list rebuilt from scratch every mandate. Follow one deal end to end and see where those hours go — and which of them you stop spending.

§01 · The workflow

Step by step

The list and the room, wired together

Most teams run a request list in one tool and a data room in another, then spend the deal reconciling the two by hand. Here they are one system: every request carries the documents that answer it, every file knows which requests it satisfies, and the AI keeps that mapping current as new material lands. Two of the four stages below are silent recordings of the real product.

Your team approves every answer. The AI reads every document.

  1. 01 Request list

The list sets the shape of the room

The deal lead configures workstreams (Financial, Legal, Commercial), invites participants, and issues structured, trackable requests to your team. The same categories shape the data room: its folders can be rebuilt from any request list, so the room is organised the way the diligence is.

    • Reusable request templates by deal type.
    • Role-based visibility from day one.

    02 Coverage

Every request points at its documents

Open a request and the data room is right there. Link a file that is already in the room, or upload a new one straight into the folder it belongs in. The request then carries a VDR index — the document’s position in the room’s folder tree, one click from the request — so nobody keeps a side spreadsheet mapping asks to files.

    • Link from the room, or upload into it.
    • Every AI draft says whether the answer is in the data room, partial, or missing.
    • Match data room links whatever already answers the ask.
  3. 03 Approval

    You vet and approve

Nothing reaches participants until the deal lead approves it. Review each drafted response, then approve and release it, or dismiss the draft and answer in your own words. Cross-document reconciliation flags any figures that do not agree, so you catch them here, before anything is published.

    • Dynamic watermark applied on publish.
    • Every approval logged to the audit trail.

    04 Data room

    New files find their requests

Work arrives in the room all deal long. As each file lands, the AI proposes which open request it answers, and your team confirms or corrects in a single pass. A confirmed link shows up on the request itself as a VDR index, the document’s position in the room’s folder tree, so the list stays current without anyone maintaining it.

    • AI suggests, a person always confirms.
    • Deal data never trains AI models.

§02 · Questions

FAQ

Questions deal teams ask

How long does it take to set up a deal?

Minutes. Start from a request-list template for your deal type, invite your team, and you are live. Most teams run their first deal the same day they onboard.

Do participants need to create accounts?

Not for basic responses. Contributors can reply to requests directly from email. Full account access unlocks the web app when they want the complete view.

What is the difference between AI matching and AI-drafted answers?

They are two different steps, in that order. Matching links an uploaded document to the open request it satisfies, and a newly asked question to an answer already published on the deal, by meaning rather than by filename. Drafting then writes the prose answer to a request, citing the data room, for the deal team to approve and release. Matching finds the evidence; drafting writes the response. A person confirms every match and approves every draft before anything is broadcast, and your deal data never trains AI models.

Can we control who sees what?

Yes. Access is role-based and automatic. Each participant sees only their workstream and tasks. Participants see only published answers; internal routing stays invisible to external parties.

What happens to documents when a deal closes?

Access is revoked immediately on close, while the complete audit trail and record set are retained for compliance. You control retention and export.

How do you keep our data secure?

FIPS 140-3 validated cryptography, a separate encrypted database for every deal, dynamic watermarks on every document, and a complete audit trail. See the Security page for the full breakdown.
